As an introduction, it is important to note that the United Arab Emirates (“UAE”) is a civil law system, and the UAE Civil Transactions Law, No. 5 of 1985) (known as the “Civil Code”) forms the cornerstone of the law applicable to civil transactions.
Thus, the basic questions of how a contract is made, what constitutes offer and acceptance, the capacity of the parties, the effect of fraud and mistake, the interpretation of agreements, the liberty to withdraw, remedies for breach, and general questions of contract law, as well as numerous specific types of civil Transaction Law (including construction contracts), are mainly resolved by the provisions of the Civil Code.
